The finance ministry announced that employee stock option compensation will not be taxed as salary under the new 2026 income tax regulations.

Central Finance Department issued a clarification on the tax treatment of employee stock options (ESOPs) under the forthcoming Income Tax Rules 2026.

The new guidelines state that the monetary value of ESOPs granted to employees will not be classified as salary and therefore will not attract salary tax, provided the issuance complies with strict regulatory conditions.

The clarification seeks to remove ambiguity that had arisen after companies began offering ESOPs as part of compensation packages, aligning with the government's effort to promote equity‑based remuneration.

Companies are advised to ensure compliance with the stipulated conditions to benefit from the exemption, while employees can expect ESOP proceeds to be taxed only under capital gains provisions when the shares are sold.
